Terms of Service

Please read these Terms of Service ("Terms") carefully before using soink. By clicking to accept or by using the Services, you ("you" or "Customer") agree to be bound by these Terms. If you are accepting on behalf of a company, you represent that you have the authority to bind that company.

Please also read our Privacy Policy, which explains how we handle your data.

1. How soink Handles Your Data

soink processes your voice audio in real time and deletes it immediately after transcription. We do not store voice recordings or transcriptions on our servers.

soink will not use your content to train AI models, and will not allow any third-party processor (including OpenAI, Anthropic, and Google (Gemini)) to train on your data.

2. Access and Use

Subject to your compliance with these Terms, soink grants you a limited, non-exclusive, non-transferable right to access and use the Services for your personal or internal business purposes. You must be at least 13 years old (US) or 16 years old (elsewhere) to use the Services.

Each user must maintain their own account and may not share credentials. You are responsible for all activity that occurs under your account.

Free Services are provided without charge up to certain limits. soink may terminate free access at any time, for any or no reason, without prior notice.

3. Proprietary Rights; Restrictions

You retain all ownership of the content you submit ("Input"). soink assigns to you all right, title, and interest in any transcriptions or AI-generated text produced from your Input ("Output").

soink and its licensors own all rights in the Services themselves. You may not:

• Reverse engineer, decompile, or disassemble any part of the Services;
• Copy, rent, sublicense, or otherwise transfer the Services to any third party;
• Use the Services to build a product or service competitive with soink;
• Remove any proprietary notices from the Services; or
• Use the Services for any activity where failure could cause death, personal injury, or environmental damage.

You are solely responsible for ensuring your use of the Services complies with all applicable recording laws, including obtaining any required consent before recording or transcribing others.

4. Prohibited Uses

You agree not to use the Services to:

• Record or transcribe another person's voice without their prior, informed consent;
• Harass, threaten, or harm any person;
• Publish content that is fraudulent, defamatory, or that infringes third-party intellectual property or privacy rights;
• Bypass any security or access-control measures;
• Send spam or other unsolicited communications;
• Engage in payment fraud or obtain the Services without required payment; or
• Violate any applicable law or regulation.

You may not use any Output to train, fine-tune, or improve any AI or machine learning model without soink's prior written consent.

5. Third-Party Services

The Services use third-party providers, including OpenAI, Anthropic, and Google (Gemini) for AI features, and Stripe for payment processing. These providers process your data only as necessary to deliver the Services, under zero-retention configurations where contractually available, and are not permitted to use your data for model training.

soink is not responsible for the practices of third-party services. Your payments are processed by Stripe in accordance with Stripe's Terms of Service.

6. Payment

Fees are listed at /plans. Unless otherwise stated, fees are non-refundable and payment obligations are non-cancelable. soink may update pricing at the next renewal period with advance notice. If you do not agree to a price change, you must cancel before the new price takes effect.

If payment is made by credit card, you authorize soink to charge that card for all applicable fees on a recurring basis.

7. Confidentiality

Each party may receive confidential information from the other. Neither party may use the other's confidential information except as necessary to fulfill its obligations under these Terms, and must protect it with at least the same care used to protect its own confidential information.

8. Term and Termination

These Terms begin when you first accept them and continue until terminated. Either party may terminate for cause upon 30 days' written notice of a material breach that remains uncured. soink may terminate immediately if you violate the use restrictions or fail to pay fees.

Upon termination, your right to use the Services ceases. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive termination.

9. Disclaimers and Limitation of Liability

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. soink EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DUE TO THE NATURE OF AI, OUTPUT MAY CONTAIN ERRORS OR INACCURACIES. YOU ARE RESPONSIBLE FOR VERIFYING ANY OUTPUT BEFORE RELYING ON IT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, soink's AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO soink IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100. soink IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If you are an EU consumer, nothing in these Terms limits soink's liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any liability that cannot be excluded under applicable EU law.

10. Dispute Resolution

The parties will first attempt to resolve any dispute through good-faith negotiation by emailing legal@soink.ai. If unresolved after 60 days, disputes will be settled by binding arbitration in Delaware, United States, under the JAMS Streamlined Arbitration Rules, by one arbitrator. You and soink each waive the right to a jury trial and to participate in class or representative actions.

This Section does not prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the Services.

11. General

Governing Law. These Terms are governed by the laws of Delaware, without regard to conflicts of law principles. EU consumers retain the benefit of mandatory local consumer protection laws.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and soink regarding the Services.

Modifications. soink may update these Terms by posting a new version at /terms-of-service and providing reasonable notice. Continued use after the effective date constitutes acceptance.

Assignment. You may not assign these Terms without soink's consent. soink may assign its rights and obligations to a successor in connection with a sale or merger.

Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
